These Terms & Conditions govern access to the Comutato website and business AI sales-assistant services provided by COMUTATO SOLUTIONS SRL. By using the website or ordering a service, you agree to these Terms on behalf of yourself or the organisation you represent.

1. About Comutato and these Terms

COMUTATO SOLUTIONS SRL is registered in the Republic of Moldova (IDNO 1025600039307), with its registered office at str. Alecu Russo 24, of. 130, MD-2044, Chisinau, Republic of Moldova.

These Terms are our general public terms. If you and Comutato sign an Order Form, service agreement, Data Processing Agreement, or Service Level Agreement, that signed document prevails over these Terms to the extent of a conflict in its subject matter.

2. Business use and authority

The services are offered to businesses, not consumers. You confirm that you are at least 18 years old and have authority to bind the organisation you represent. You are responsible for ensuring that your use of the services complies with the laws and industry rules that apply to your business.

3. The services

Comutato provides AI-assisted sales automation that can respond to inquiries, qualify leads, use connected inventory, coordinate manager intervention, and support appointment requests through configured messaging and business systems.

The enabled channels, integrations, environments, support level, activation date, and other deliverables are those stated in the applicable Order Form. Features described on the website may be subject to availability and do not expand a signed scope. We may improve or change the services provided that we do not materially reduce an active paid service without notice.

4. Orders, pilots, and fees

A paid service is formed when Comutato accepts an Order Form or other written commercial agreement. The signed order controls its term, invoicing, payment method, activation, cancellation, refund, guarantee, tax, and renewal rules.

Unless a signed order states otherwise, the standard paid pilot starts with a EUR 500 upfront payment, which is also the billing-cycle minimum. Outcome usage is credited at a EUR 2 lifetime target for a Qualified Lead and a EUR 5 lifetime target for a manager-confirmed viewing, with no more than EUR 5 attributed to one Lead and a EUR 2,500 cycle cap. Unused minimum does not roll over. Custom CRM automation, non-standard imports, additional projects, and bespoke workflows are separately scoped and priced.

Public pricing is informational and is not a binding quotation. Fees are due as stated in the signed order or invoice. Cancellation and refund rights are governed by the signed order and mandatory law.

5. Customer responsibilities

You are responsible for:

  • providing accurate business, inventory, pricing, team, and workflow information and keeping it current;
  • maintaining the rights, licences, and lawful bases needed for data, messaging accounts, CRM systems, and other integrations you connect;
  • obtaining and recording consent for business-initiated communications where the law or a channel provider requires it;
  • protecting account credentials and promptly reporting suspected unauthorised access;
  • assigning qualified managers to supervise escalations, review material decisions, and confirm appointments; and
  • reviewing the service configuration and outputs before relying on them for contractual, financial, legal, medical, or other high-impact decisions.

6. Acceptable use

You must not use the website or services to:

  • break the law, infringe another person's rights, or send communications without the required consent;
  • mislead, harass, discriminate against, exploit, or harm a person;
  • distribute malware, probe security, disrupt the services, or exceed documented access limits;
  • attempt to reverse engineer or copy protected parts of the platform except where applicable law does not permit that restriction;
  • submit data you are not authorised to process; or
  • make a solely automated decision that produces legal or similarly significant effects without the safeguards required by applicable law.

7. AI outputs and human oversight

AI-generated output is probabilistic and can be incomplete, inaccurate, or inappropriate for a particular context. Comutato uses configuration, knowledge sources, confidence controls, monitoring, and manager handoff to reduce these risks, but does not guarantee that every output will be correct.

You remain responsible for appropriate human oversight and for decisions made using an output. The services do not provide legal, financial, medical, or other professional advice.

8. Data protection

Our Privacy Policy explains how we process data for the website and our own business operations. When Comutato processes personal data on behalf of a business customer, the customer acts as controller and Comutato acts as processor under the applicable Data Processing Agreement and documented customer instructions.

You confirm that you have a lawful basis to provide personal data to the services. Each party will comply with the data-protection obligations that apply to its role.

9. Confidentiality

Each party must protect the other party's non-public business, technical, security, customer, and pricing information using reasonable care and may use it only to perform or receive the services. This obligation does not cover information that is public without breach, was already lawfully known, is independently developed, or is lawfully received from another source. A party may disclose information when legally required after giving notice where permitted.

10. Intellectual property and customer data

Comutato and its licensors retain all rights in the platform, software, models, documentation, designs, and service improvements. We grant you a limited, non-exclusive, non-transferable right to use the paid services during the applicable term for your internal business purposes.

You retain your rights in Customer Data. You grant Comutato the rights necessary to host, copy, transmit, transform, and otherwise process Customer Data solely to provide, secure, support, and improve the contracted services, subject to the applicable Data Processing Agreement and confidentiality obligations.

11. Third-party services

The services may connect to messaging platforms, CRM systems, payment providers, cloud services, and other third-party products. Their own terms and availability apply. Comutato is not responsible for a third party's independent acts, outages, policy changes, or suspension of your third-party account, but we will use reasonable efforts to communicate and mitigate material effects on the contracted service.

12. Suspension and termination

We may suspend access when reasonably necessary to address a security risk, unlawful use, material breach, non-payment, or harm to the services or another customer. Where practicable, we will give notice and an opportunity to cure.

Termination, notice periods, renewals, and any post-termination assistance are governed by the signed order. After termination, each party must return or delete confidential information and Customer Data as required by the applicable agreement, Data Processing Agreement, and law.

13. Warranties and disclaimers

Comutato will provide the contracted services with reasonable skill and care. Except for express commitments in a signed agreement and rights that cannot lawfully be excluded, the website and services are provided as available. We do not warrant uninterrupted or error-free operation, a particular sales result, or that every AI output will be accurate.

14. Limitation of liability

To the maximum extent permitted by law, neither party is liable under these Terms for indirect, incidental, special, punitive, or consequential loss, or for loss of profit, revenue, goodwill, or anticipated savings.

Unless a signed agreement states otherwise, each party's aggregate liability arising from these Terms and the services is limited to the fees paid or payable to Comutato under the applicable order during the 12 months immediately preceding the event giving rise to the claim. Nothing in these Terms limits liability for fraud, wilful misconduct, death or personal injury caused by negligence, or any liability that applicable law does not permit the parties to limit.

15. Governing law and disputes

Unless a signed agreement states otherwise, these Terms are governed by the laws of the Republic of Moldova, without regard to conflict-of-law rules. The parties will first try in good faith to resolve a dispute through written notice and discussion. If it is not resolved, the competent courts of Chisinau, Republic of Moldova, have exclusive jurisdiction.

16. Changes and contact

We may update these Terms to reflect changes in the services, law, or business operations. We will publish the revised version and effective date here. A material change affecting an active paid service will be communicated as required by the signed agreement or applicable law.
